Terms and Conditions (T&C)
These T&C govern the use of the Virtus Umbra Lead Management System ("Platform"). As of: January 2026. Jurisdiction: Linz, Austria.
1. Scope & Contracting Parties
These T&C apply to all contracts for the use of the SaaS platform between Virtus Umbra e.U. (hereinafter 'Provider') and commercial customers (B2B). Deviating terms of the customer are not recognized.
2. Service Description & AI Usage
The Provider provides a software-based solution for lead identification and market research. The platform uses artificial intelligence (AI) to aggregate and analyze publicly available data. The Customer acknowledges that AI-generated content is based on probabilities and manual final verification by the user is recommended.
3. Legality of Data Use
The Customer is solely responsible for ensuring that the use of data obtained via the platform (especially for marketing purposes) complies with applicable laws (e.g., GDPR, local anti-spam regulations). The Provider only provides the technological infrastructure for information retrieval.
4. Usage Rights & Intellectual Property
The Provider grants the Customer a non-exclusive, non-transferable right to use the platform for the duration of the subscription. All rights to the underlying AI models and algorithms remain with the Provider.
5. Availability & Maintenance
We strive for an availability of 99.5% on an annual average. Planned maintenance work will be announced in good time. Support requests are handled via the central Virtus Umbra Portal (virtus-umbra.ai/portal).
6. Limitation of Liability
The Provider is liable for damages only in cases of intent or gross negligence. Liability for slight negligence, lost profit, or consequential damages is excluded to the extent permitted by law. In particular, no liability is assumed for the accuracy of public data aggregated by the AI.
7. Term & Termination
The contract term is based on the selected model (monthly/yearly). Monthly subscriptions can be cancelled up to 24h before the end of the period. Yearly subscriptions are automatically renewed unless cancelled 30 days before expiry.
8. Final Provisions
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of performance and jurisdiction is Linz, Austria.
